Art. 56 section 1 point 2 of the Act on Public Offering - current and periodic information

The Management Board of EQUNICO SE (the “Company”, “Issuer”) hereby announces that on August 27, 2025, the District Court for Kraków-Śródmieście in Kraków, 19th Commercial Division of the National Court Register (the “Registry Court”) registered amendments to the Company’s Articles of Association made by resolution No. 30 of the Annual General Meeting of the Company of June 2025, XNUMX.

The following changes were introduced to the Statute:

• 5 section 1 has the following wording:

• 15, paragraphs 1 and 2 have the following wording:

1. “The consent of the Supervisory Board expressed in the form of a resolution is required for the acquisition, sale, encumbrance or other disposal of the Company’s assets by the Management Board exceeding the equivalent of EUR 15.000.000,00 (fifteen million euros).
2. Incurring liabilities (including concluding agreements), granting loans, guarantees and sureties by the Company exceeding the equivalent of EUR 15.000.000,00 (fifteen million EURO) requires the consent of the Supervisory Board expressed in the form of a resolution.

• 21 section 2 point 5) has the following wording:

"5) Giving the Management Board consent to the acquisition, disposal and any other disposal of the Company's assets exceeding the amount of EUR 15.000.000 specified in §15 sections 1 and 2 of the Company's Articles of Association"

• 21 section 2 point 11) has the following wording:

"11) Selecting an audit firm to audit the financial statements and certify sustainability reporting"

The Management Board hereby provides, as an attachment to the report, the current consolidated text of the Company's Articles of Association, which was adopted by Resolution No. 20 of the Company's Annual General Meeting of 30 June 2025.

§ 5 item 1 and § 6 item 1), 3) and 4) of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
