On March 9, 2021, the Estonian Commercial Register approved the increase in the share capital of RESBUD SE to over EUR 26 million and registered the related changes to the Company's statute. This is the finalization of the process of taking over majority shares in the companies Uniwersim sp. z o. o., Conpol sp. z o. o. and Energokomplekt OOO, thanks to the private subscription of over 218 million new shares of RESBUD SE carried out in December last year.

The decision of the Estonian Commercial Register means that from March 9, 2021, the Company's share capital amounts to EUR 26 (previously it amounted to EUR 028 million), and the total number of votes and shares without nominal value - 229 shares.

The finalization of the complex process of subscription of new shares, a significant increase in the share capital of RESBUD SE and the takeover of three companies from the trade and construction industry is the beginning of a new chapter in the history of RESBUD SE. We look into the future with optimism, and our plan is to consistently build the value of the companies included in our holding. We want to generate profits for our shareholders, while creating added value for the economy and society - says Jarosław Gerard Podolski, Member of the Management Board of RESBUD SE.

Carrying out the transformation process into a modern and dynamically developing European holding operating in the construction, energy and civil engineering markets, RESBUD SE acquired on February 4 this year. shares in Uniwersim sp. z o. o., Conpol sp. z o. o. and Energokomplekt OOO (100%, 61,36% and 83,7% of shares in the share capital of the above-mentioned companies, respectively). It was an element of the private subscription process of 218.520.263 new RESBUD SE securities, which the shareholders of Energokomplekt OOO, Conpol sp. z o. o. and Uniwersim sp. z o. o. acquired through contributions in kind in the form of their shares in these companies. The issue price of one share of the new issue was EUR 0,1467, and the total value of the new shares was over EUR 32 million.

As a result of the transaction, RESBUD SE currently has in its portfolio 100% of shares in Uniwersim sp. z o. o., 100% of shares in Conpol sp. z o. o. and 100% of shares in Energokomplekt OOO (87,8% directly and 12,2% indirectly) . This results in the obligation for the Company to prepare consolidated financial statements with the above-mentioned companies, starting from 2021.

Energokomplekt OOO is a trading company based in Yekaterinburg, which is a comprehensive operator of the supply of equipment, materials, construction chemicals and specialized equipment for large infrastructure investments, including the construction and modernization of energy installations. Its clients are the largest construction companies in Russia and several countries of the Commonwealth of Independent States. The company also operates on several foreign markets - from Poland and Estonia to the Far East.

Conpol sp. z o. o. has extensive competences in the field of engineering and energy construction, as well as concrete and asphalt production. The company currently operates successfully on the Polish market, participating as a contractor in investments in the field of building, engineering and road construction. The most important projects of the Company include: expansion of the Kraków-Balice International Passenger Terminal, construction of the A1 motorway on the Tuszyn-Pyrzowice section (section G), reconstruction of track systems and accompanying infrastructure on the E59 railway line (Leszno-Czempiń section), as well as execution of construction works on the section of line E30 Kraków Mydlniki - Kraków Główny Towarowy.

Uniwersim sp. z o. o. is a manufacturer of high-quality bitumen and concrete. The company produces mineral-asphalt mixtures intended for all construction layers of the surface, for roads of traffic categories from KR1 to KR7, and has been cooperating for many years with companies specializing in the modernization and reconstruction of local and provincial roads, as well as with concerns implementing contracts for construction of expressways and highways. In the years 2017-2019, the plant was one of the main producers of the mixture for Strabag SA for the expansion of national road No. 8 on the Radziejowice-Przeszkoda section.
